Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the cloud-based software platform provided by Erlich AI LLC, a Delaware limited liability company (“Erlich”, “we,” “us,” or “our”). By creating an account, accessing the Service, or using any features of the Service, you (“Customer” or “you”) agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. In that case, “you” refers to the organization and its Authorized Users.
1. Definitions
- Account: A Customer account tied to a professional email domain and administered by an Account Administrator.
- Authorized Users: Employees, contractors, or agents whom Customer authorizes to access the Service via the Account.
- Service: Erlich’s cloud-based patent proofreading and document analysis platform, including any related websites, tools, APIs, or features.
- Customer Data: Information submitted or generated by Customer or its Authorized Users while using the Service, including any data processed from publicly available sources.
- Output: Any reports, analyses, or AI-generated content produced by or through the Service.
- Credits: Prepaid units purchased by Customer, redeemable for using features of the Service.
2. The Service
2.1 Provision of Service
Erlich provides a cloud-based platform designed to assist with patent proofreading, document analysis, and related workflows. Features may evolve over time.
2.2 No Legal Advice
You acknowledge that the Service provides automated tools for assistance only.
It does not constitute legal advice, legal services, or attorney work product.
Erlich makes no representation that the Service or Output is accurate, complete, or error-free. You remain solely responsible for reviewing and verifying all results.
2.3 AI-Generated Content
The Service may use artificial intelligence technologies to generate Output. You acknowledge that:
- AI may produce inaccurate or incomplete results;
- Output may not reflect the law or fact;
- You must independently review all Output.
3. Accounts and Users
3.1 Registration
Accounts must be tied to a valid professional email domain. Customer is responsible for ensuring that all registration information is accurate.
3.2 Multi-User Accounts
Customer may authorize multiple users under a single Account. Customer is responsible for:
- Maintaining the security of login credentials;
- Ensuring compliance by all Authorized Users;
- Any activity occurring under the Account.
3.3 Account Administrator
The Account Administrator controls credit purchases, user management, and account settings.
4. Fees, Credits, and Billing
4.1 Prepaid Credits
- Credits may be purchased by the Account Administrator.
- Credits are consumed when using certain features of the Service.
- Once consumed, credits are non-refundable.
4.2 Promotional Credits
- Erlich may provide promotional credits at its discretion.
- Promotional credits cannot be withdrawn.
- They expire as stated in the promotion or upon account termination.
- Erlich may modify or discontinue promotional credits at any time.
4.3 Refunds of Unused Credits
Customer may request a refund of unused, purchased credit balances. Refunds apply only to credits that have not been spent. Refund method and timing may vary based on payment processor requirements.
4.4 Pricing Changes
Erlich may modify pricing from time to time. Changes will take effect only after reasonable prior notice to the Account Administrator.
4.5 Taxes
Fees are exclusive of taxes. Customer is responsible for applicable taxes except those based on Erlich’s income.
5. License and Intellectual Property
5.1 Erlich IP
- Erlich retains all rights, title, and interest in the Service, including software, algorithms, models, prompts, workflows, documentation, updates, enhancements, and derivatives.
- No rights are granted except as expressly stated.
5.2 License to Customer
Erlich grants Customer a limited, non-exclusive, non-transferable license to access and use the Service during the Term.
5.3 Customer Data and Outputs
- Customer retains ownership of Customer Data.
- Customer owns Outputs generated for its Account, except Erlich retains a license to use anonymized or aggregated data as described below.
5.4 License to Process Data
Customer grants Erlich a worldwide, royalty-free license to host, process, store, transmit, and display Customer Data as necessary to provide the Service.
5.5 Use of Anonymized Data
- Erlich may use anonymized, aggregated, or de-identified data derived from Customer Data or usage for improving the Service, developing new features, analytics, and benchmarking.
- No personally identifiable or proprietary document content is disclosed.
6. Restrictions
- You may not, and may not permit others to:
- Copy, modify, or create derivative works based on the Service;
- Reverse engineer, decompile, or attempt to extract source code;
- Access the Service to build a competing product;
- Scrape, harvest, or extract data at scale;
- Use automated scripts or high-volume queries outside normal usage;
- Use the Service for illegal, infringing, or unauthorized purposes;
- Attempt to circumvent credit consumption or usage limits.
7. Confidentiality and Security
7.1 Confidentiality Obligations
Both parties agree to maintain the confidentiality of non-public information received from the other and to use it only for purposes of performing under these Terms.
7.2 Customer Data
Erlich will implement reasonable and industry-standard administrative, technical, and physical safeguards to protect Customer Data.
7.3 No Absolute Security Guarantee
Customer acknowledges that no system is perfectly secure and that Erlich cannot guarantee absolute protection of Customer Data.
8. Third-Party Services
The Service may rely on third-party tools, APIs, datasets, hosting providers, or AI technologies. Customer agrees that:
- Availability of the Service may be affected by third-party systems;
- Erlich is not responsible for errors, inaccuracies, or outages caused by third parties;
- Erlich may change third-party providers without notice.
9. Disclaimers
- The Service and all Output are provided “AS IS” and “AS AVAILABLE.”
- Erlich disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, reliability, completeness, and non-infringement.
- Erlich does not guarantee that the Service or Output will meet Customer’s requirements or be error-free.
10. Limitation of Liability
- To the maximum extent permitted by law:
- Erlich’s total liability arising out of these Terms will not exceed the amounts paid by Customer to Erlich in the 12 months preceding the claim.
- Erlich will not be liable for indirect, incidental, special, punitive, or consequential damages.
- Erlich will not be liable for loss of profits, loss of data, business interruption, or legal claims arising from reliance on Output.
- These limitations apply even if Erlich was advised of the possibility of such damages.
11. Indemnification
- Customer agrees to indemnify and hold Erlich harmless from any claims, liabilities, damages, or expenses arising from:
- Customer’s misuse of the Service;
- Violation of these Terms;
- Violation of any applicable laws;
- Disputes between Customer and its clients or Authorized Users.
12. Suspension and Termination
12.1 Suspension
- Erlich may suspend access to the Service if:
- Customer fails to pay fees or maintain sufficient credits;
- Customer violates these Terms;
- Customer’s use threatens the security or integrity of the Service.
12.2 Termination
- Either party may terminate the Agreement with notice.
- Erlich may terminate immediately for:
- Non-payment
- Material breach
- Misuse or illegal use of the Service
12.3 Post-Termination Access
- Upon termination:
- Customer may request export of remaining Customer Data within 30 days;
- Promotional credits expire;
- Unused purchased credits may be refunded;
- Access to the Service will cease.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in California, and both parties consent to personal jurisdiction there.
14. Changes to Terms
Erlich may update these Terms periodically. Changes will become effective when posted, unless otherwise stated. Customer’s continued use of the Service constitutes acceptance of the updated Terms.
